Legal Services Agreement

This Legal Services Agreement ("Agreement") is between Aundrea Gooden, IL (“Client”) and The Law Of fice of Gardner Law, LLC, 1043 S. York Road, # 106H Bensenville IL 60106 ("Attorney").

WHEREAS, Client desires to have Attorney perform certain legal services for Client, as set forth herein, and Attorney is willing to perform such services,

NOW, THEREFORE, in consideration of the mutual promises contained herein the parties hereto agree as follows:

1. Services

Client hereby engages Attorney to perform the following legal services: To represent her in  the acquisition and purchase of 337 E. Clark Street, Glenwood, IL 60425 f rom the execution  of the contract up to the closing date.

2. Fees and Reimbursements / Invoices 

2.1Client agrees to pay Attorney fee of Eight Hundred and Fif ty Dollars_____ for the purposes  of reviewing Contract handling all aspects of the real estate transaction until the transaction  is closed. Payment will be made in two equal installments. The first installment of $425.00  shall be sent to Attorney via Zelle @ Audreygardner40@gmail.com upon Attorney’s issuance

of the Initial Attorney Review Letter. The second installment of $425.00 will be issued at  closing.

All fees paid by Client to attorney shall immediately become the property of Attorney upon  the issue of the Attorney Review Letter to opposing counsel.

2.2 Client will reimburse Attorney for all reasonable and customary expenses incurred, if  applicable.

2.3 Client agrees to advance any filing fees (court, sherif f etc.) necessary to commence  and/or prosecute claims against Plaintif f , Counter-Defendant(s), if applicable.

4. Term

The term of this Agreement shall commence as of the date signed by both Attorney and  Client below, and shall continue in ef fect until the earlier of (a) the completion of the work  for which Attorney is engaged by Client, or (b) termination by either Attorney or Client, as

provided in section 6 of this Agreement. The term may be extended beyond the completion  of the initial work by agreement of Attorney and Client.

5. Independent Contractor

Attorney shall perform services hereunder as an independent contractor and not as an  employee, partner, or agent of Client.

Client agrees and understands that Attorney may employ staf f , legal assistants, attorneys  and/or consult with his associates regarding client’s case.

6. Protection of Confidential Information

5.1 All work product of Attorney in the performance of this Agreement, including without  limitation, analyses, reports, documents and other information, shall be considered  Confidential Information. Any information disclosed to Attorney by Client or others on behalf  of Client in connection with this Agreement shall also be considered Confidential  Information.

5.2 Except as Client may authorize in writing, Attorney shall not disclose any Confidential  Information or use it for any purpose other than the performance of services under this  Agreement. Promptly upon Client's request, Attorney shall deliver to Client all Confidential  Information received f rom Client or others which Attorney has in his possession, but  Attorney is authorized to retain copies for archival purposes.

7. Termination

This Agreement may be terminated by either party on written notice by one party to the  other party. Immediately upon receipt of such notice, Attorney shall stop all work, but any  work done through the date of termination shall be paid for as provided in Section 2 above.  Client may terminate this agreement within five days of this agreement (without recourse),  or as otherwise specified herein.

7. Applicable Law / Entire Agreement

7.1 This Agreement shall in all respects be governed by and construed in accordance with  the laws of the State of Illinois.

7.2 This Agreement constitutes the entire agreement and supersedes all prior agreements  and understanding, both written and oral, between the parties relating to the subject matter  hereof . It shall not be amended, supplemented or superseded except by a written  agreement signed by both parties. 

8. Notices

All notices, invoices, correspondence, consents, requests, demands, and other  communications hereunder shall be in writing and shall be deemed to have been duly given  when actually received. Such notices may be given personally, by registered or certified  mail, or by facsimile transmission,

9. Waiver and Other Hold Harmless Clause

Failure of either party to this Agreement to enforce at any time any of the provisions of this  Agreement shall in no way be construed to be a waiver of such provisions nor in any way  af fect the validity of this Agreement or any part thereof or the right of either party  thereaf ter to enforce each and every provision thereof . The waiver of any provisions of this  Agreement or any breach thereof shall not constitute waiver of any subsequent breach of  the same or any other provisions of this Agreement. 

10. Survival

The obligations of Attorney under Section 5 of this Agreement shall survive termination or  expiration of this Agreement for a period of five (5) years.

11. Dispute Resolution

In the event of any disagreement or dispute concerning this Agreement, Attorney and Client  shall exercise reasonable ef forts to resolve the matter amicably. Attorney retains the right  to bring a collection action in any court of competent jurisdiction, and Client agrees to  submit to the jurisdiction of the courts of Cook County, Illinois, and shall be responsible for  paying attorney fees to attorney, if he prevails in such action.

.12. Other

Attorney states that she has explained each provision of this agreement to Client. The  Client states that no promises, guarantees or assurances have been made by the Attorney  regarding the outcome of said matter. Client further states that she has read and  understands this agreement and has received a copy of this agreement.
